Since our beginnings, Michie Hamlett has assisted local entrepreneurs, business owners and non-profits to form and maintain corporations, partnerships and sole proprietorships. More recently, our commercial attorneys have focused on the present-day business entity of choice--the limited liability company or LLC. LLCs are extremely flexible and inexpensive to form, and have many of the desirable attributes of both corporations and partnerships. In addition to forming and obtaining state certification for business entities, we help principals to negotiate, evaluate and prepare the agreements that constitute the internal roadmap of their businesses, whether that be an operating or partnership agreement, articles of incorporation, or bylaws. Our corporate maintenance services include serving as registered agent, preparation of resolutions and minutes, and adoption of fictitious names.

Our many years of experience in banking law enable us to assist businesses in negotiating and documenting their financial transactions. In addition, our broad range of commercial experience enables us to assist clients in the drafting and review of contracts and in reviewing their areas of business for statutory and regulatory requirements in order to avoid problems before they occur.
